Position Summary

We are looking for a creative, collaborative, results-oriented attorney to join our corporate legal team. The individual will play a lead role in all registered and non-registered capital-raising transactions, company credit support, and ongoing compliance with debt instruments, as well as our environmental, social, and governance disclosure and policies. This position will be highly focused on serving the legal needs of the company’s Treasury organization and Sustainability group.

The [Senior/Associate] General/Deputy General] Counsel role will report to the Vice President, Corporate Legal Support and Chief Governance Officer. This position is viewed by clients as an expert who is integral to the success of several business functional areas. The qualified individual should have a minimum of [3-5] years of corporate legal experience, including foundational finance legal training at a law firm or with the Securities and Exchange Commission. Experience with environmental, social, and governance disclosure regimes is desired by not required.

The individual should have excellent presentation and writing skills, the ability to quickly master complex legal and regulatory issues, and to work effectively across business functions in a matrixed organization.

Responsibilities

  • Review of offering documents, contracts and closing materials for financial transactions, including coordination of obtaining required internal approvals and signatures for financial offerings and closings.
  • Participation in due diligence procedures for financing transactions.
  • Coordination of filing and ongoing renewal of all required registration statements for all SEC-registered offering entities within the company.
  • Review of SEC reports as necessary for knowledge necessary to render required in-house legal opinions for financing transactions.
  • Review and coordinate approval of corporate guarantees as requested by various business units, including compliance with corporate policies relating to credit support.
  • Provide legal support for ongoing compliance with provisions of all current debt instruments, including utility mortgages, credit agreements and indentures.
  • Assist in annual review of applicable corporate policies.
  • Review statutes, regulations, and NYSE rules for potential changes to legal requirements.
  • Support internal clients by providing legal advice on such issues as debt compliance, disclosure standards relating to financial transactions, and updates on new legal developments that may impact the clients.
  • Provide legal support to the Sustainability group by advising on compliance with environmental, social, and governance standards and regulations and reviewing environmental, social, and governance disclosure materials to ensure accuracy and alignment with corporate practices and policies.

Working Conditions

  • Hybrid – Work will be performed from both remote and onsite locations after the onboarding period. However, hybrid employees should live within a reasonable commute to Duke Energy’s offices in Charlotte NC.
  • Local and overnight travel limited to attending conferences and other training, as necessary.
  • The in-person portion will be located in Charlotte NC.

Required/Basic Qualifications

Associate General Counsel – Requirements

  • Bachelor’s Degree.
  • Doctor of Jurisprudence degree (JD) from an accredited law school.
  • Licensed to practice law in North Carolina or eligible for admission under North Carolina Bar rules.
  • Seven (7) years minimum experience practicing law.

Deputy General Counsel – Requirements

  • Bachelor’s Degree
  • Doctor of Jurisprudence degree (JD) from an accredited law school.
  • Licensed to practice law in North Carolina or eligible for admission under North Carolina Bar rules.
  • Twelve (12) years minimum experience practicing law.

Desired Qualifications

  • Effective legal research and writing skills
  • Experience in interacting with multiple stakeholders/collaborative groups in reaching multi-party resolutions
  • Ability to work independently and with a group of people for long hours under deadline pressures
  • Ability to manage multiple complex matters simultaneously
  • Broad, in-depth knowledge and experience in the energy industry
  • Knowledge of accounting
  • Knowledge of Duke Energy and its various business operations
  • Strong, effective communication, interpersonal and presentation skills
  • Sound judgment and decision-making skills
  • Attention to detail
